一、授权内容

1.甲方授权乙方负责本项目的国内外意向合作方的对接、洽谈、咨询、资质审核、业务沟通等工作；

2. 乙方代表甲方签署法律文件的程序。乙方代表甲方商务洽谈时，在最终签署法律文件前，需经甲方法律顾问审核并最终经甲方的书面确认后，方可签署项目受让授权书、合作协议或其他法律文书；

3.负责处理本项目受让过程的事务，解答合作方的各项咨询。

二、授权权限

乙方在授权范围内签署的法律文件，甲方认可并承担相应法律责任。

三、授权期限

本授权委托期限为壹年，自2026年5月10日起至2027年5月9日止。授权期限届满后本委托书自动失效，如需继续授权，双方应另行签署书面文件办理续签手续。

四、其他约定

1、本授权期限内，如乙方未按本协议约定正确履行授权范围事务，造成甲方实际损失的。或者，超出本协议约定的期限在未取得新授权前等越权行为造成甲方实际损失的，甲方有权解除本协议，并要求乙方承担赔偿实际损失。

Recitals:

For the purpose of promoting the full implementation of the Ten Modernizations Popularization Project of AI TCM Yinghe Formula Combined Therapy (hereinafter referred to as "the Project") and celebrating the May 10th National Brand Day, Party A and Party B, in accordance with the principles of equality, voluntariness and consensus through consultation, hereby Party A authorizes Party B as the special authorized representative of the Project, and Party B agrees to such authorization. The two parties hereby sign this Power of Attorney for mutual compliance.

Article 1 Authorization Contents

1.Party A authorizes Party B to be responsible for the connection, negotiation, consultation, qualification review, business communication and other work with domestic and foreign intended partners of the Project;

2.Procedures for Party B to sign legal documents on behalf of Party A. When conducting business negotiations on behalf of Party A, Party B may only sign the project transfer authorization letter, cooperation agreement or other legal documents after the review by Party A’s legal advisor and the final written confirmation of Party A before the final signing of legal documents;

3.Be responsible for handling affairs in the process of Project transfer and answering all consultations from partners.

Article 2 Authorization Authority

Party A recognizes the legal documents signed by Party B within the scope of authorization and shall bear corresponding legal liabilities therefor.

Article 3 Term of Authorization

The term of this power of attorney is one year, from May 10, 2026 to May 9, 2027. This Power of Attorney shall automatically expire upon the expiration of the authorization term. If further authorization is required, both parties shall sign a separate written document for renewal procedures.

Article 4 Other Agreements

1.During the term of this authorization, if Party B fails to properly perform the affairs within the scope of authorization as agreed in this Agreement and causes actual losses to Party A, or conducts ultra vires acts such as exceeding the term agreed in this Agreement without obtaining new authorization and causes actual losses to Party A, Party A shall have the right to terminate this Agreement and require Party B to compensate for the actual losses.

2.This Power of Attorney is made in triplicate, with one copy each held by the Authorizing Party, the Authorized Party and the Scientific Research Intelligent Connection Platform. It shall take effect immediately upon being affixed with the official seal and signed, and shall have the same legal effect.
